Terms of Service

Welcome to Uneora. These Terms of Service ("Terms") govern your use of the Uneora platform operated by Uneora Technologies Pvt. Ltd., a company registered under the laws of India. Please read these terms carefully before using our services.

1. Acceptance of Terms

By accessing or using Uneora's platform, you agree to be bound by these Terms of Service and our Privacy Policy. If you are using Uneora on behalf of an organization, you represent that you have the authority to bind that organization to these terms.

If you do not agree with any part of these terms, you must not use our services.

2. Description of Service

Uneora provides a cloud-based business operations platform that includes inventory management, point of sale (POS), procurement, vendor management, analytics, and related business tools.

We reserve the right to modify, suspend, or discontinue any part of the service with 30 days' notice. We will not be liable for any modification, suspension, or discontinuance of the service.

3. Account Registration

You must register for an account to use Uneora. You agree to provide accurate, current, and complete information during registration.

You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.

Each organization must designate at least one account administrator who is responsible for managing users, roles, and permissions.

You must notify us immediately at security@uneora.com if you suspect unauthorized access to your account.

4. Subscription & Billing

Free Plan: The Starter plan is free with limited features. No credit card is required.

Paid Plans: Paid subscriptions are billed monthly or annually as selected. All prices are in Indian Rupees (INR) and exclusive of applicable GST.

Free Trial: Paid plans include a 14-day free trial. You will not be charged until the trial ends. You may cancel at any time during the trial.

Upgrades & Downgrades: Plan changes take effect immediately for upgrades (prorated billing) and at the end of the current billing cycle for downgrades.

Refunds: We offer a 30-day money-back guarantee for new paid subscriptions. Refunds are processed within 7–10 business days.

Late Payments: Accounts with overdue payments may have service access restricted after a 7-day grace period. We will notify you before any restriction.

5. Acceptable Use

You agree not to use Uneora for any unlawful purpose or in violation of any applicable Indian law or regulation.

You must not attempt to gain unauthorized access to other accounts, systems, or networks connected to our service.

You must not upload malicious code, viruses, or any content designed to interfere with the proper functioning of the platform.

You must not use automated scripts, bots, or scrapers to access the platform beyond authorized API usage.

You must not use the platform to store or transmit any content that infringes intellectual property rights of third parties.

Violation of these terms may result in immediate account suspension or termination.

6. Data Ownership

Your Data: You retain full ownership of all business data you input into Uneora, including products, transactions, vendor information, and financial records.

License to Uneora: You grant us a limited license to process, store, and display your data solely for the purpose of providing our services to you.

Data Export: You may export your data at any time in standard formats (CSV, JSON) through your account settings.

Data Deletion: Upon account termination, we will delete your data within 90 days, except where retention is required by Indian law (tax records, audit trails).

7. Intellectual Property

Uneora and its associated logos, designs, and content are the intellectual property of Uneora Technologies Pvt. Ltd.

You may not copy, modify, distribute, or reverse engineer any part of our platform without prior written consent.

Feedback and suggestions you provide may be used by us to improve our services without any obligation to you.

8. Service Level & Uptime

We target 99.9% platform uptime, excluding scheduled maintenance windows.

Scheduled maintenance will be communicated at least 48 hours in advance and typically performed during low-usage hours (IST 2:00 AM – 5:00 AM).

Enterprise customers receive a formal SLA with defined uptime guarantees and service credits for downtime.

9. Limitation of Liability

To the maximum extent permitted by Indian law, Uneora shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our platform.

Our total liability for any claim shall not exceed the amount you paid to us in the 12 months preceding the claim.

We are not responsible for losses resulting from inaccurate data entry, third-party integrations, or force majeure events.

10. Termination

You may cancel your subscription at any time through your account settings or by contacting support.

We may terminate or suspend your account if you violate these terms, with notice where practicable.

Upon termination, your right to use the service ceases immediately. You will have 30 days to export your data before deletion.

11. Governing Law & Disputes

These terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in New Delhi, India.

Before initiating legal proceedings, both parties agree to attempt resolution through good-faith negotiation for a minimum of 30 days.

12. Changes to Terms

We may update these terms from time to time. Material changes will be communicated via email and in-app notification at least 30 days before taking effect.

Continued use of Uneora after changes become effective constitutes acceptance of the revised terms.
